REPRESENTATIVE TRANSACTIONS:

  •  Advised large, privately-held manufacturer in the acquisition of dispenser manufacturer in a transaction that included international components.  

  • Advised selling shareholders of interactive marketing agency in connection with the sale of the business to a large, international marketing agency.

  • Advised publicly-held SAAS company with respect to the acquisition of a telecommunications expense management company.

  • Advised purchaser in connection with the acquisition of a cleanroom manufacturer.

  • Advised purchasers in connection with the acquisition of an endodontic practice.

  • Advised an aircraft ventilation system company in the sale of its stock to a company catering to aviation products services (private equitybacked).

  • Advised selling shareholders of a company performing testing and research relating to environmental toxicology, microbiology and molecular biology to a national laboratory testing company.

  • Represented software development government contractor in the sale of its business to a private equity backed information services firm.

  • Represented a seller of OEM/automotive parts in the drafting and negotiating of transactional documents; prior restructuring of the business; general legal preparation for sale in a $40 MM transaction. 

  • Represented a manufacturer of high-end grills and other outdoor kitchen appliances in a sale of the business to the US subsidiary of a Swedish public company.

  • Advised, counseled, negotiated and drafted legal documents in connection with the sale of the largest burial vault cement precaster in California. 

  • Advised remaining members of a government contractor welding company in the $25 MM buyout and equity redemption of a minority investment partner.
